These Terms of Service ("Terms") govern your use of AgileAdapt's website and services, operated by AgileAdapt Pty Ltd ("we", "us", "our"). By engaging our services or using our website, you agree to these Terms.

1. Our Services

AgileAdapt provides AI consulting, custom AI systems development, automation solutions, and digital transformation services for businesses. Services are delivered under individual statements of work or project agreements which supplement these Terms.

2. Engagements and Payments

Project fees, timelines, and deliverables are defined in individual project agreements. Payment terms are specified per engagement. Invoices are due within 14 days unless otherwise agreed. We reserve the right to suspend work on overdue accounts.

3. Acceptable Use of Website

You must not use our website to:

• Submit false or misleading information
• Attempt to access restricted systems or data
• Engage in scraping, automated access, or denial-of-service attacks
• Violate any applicable Australian law or regulation
• Infringe our intellectual property rights

4. Intellectual Property

All website content, branding, and materials are owned by AgileAdapt Pty Ltd. Custom deliverables created under a project agreement are governed by the IP terms in that agreement. Unless otherwise specified, custom work becomes your property upon full payment.

5. Confidentiality

We treat all client information, project briefs, and business data as strictly confidential. We do not disclose client information to third parties except as required to deliver contracted services or comply with legal obligations. We are happy to sign NDAs for sensitive engagements.

6. Warranties and Disclaimers

We deliver services with professional care and skill. AI systems and automations are provided "as built" with no guarantee of specific business outcomes. Technology services may require maintenance and updates over time. We do not warrant uninterrupted or error-free operation of delivered systems beyond the scope agreed in project contracts.

7. Limitation of Liability

To the maximum extent permitted by Australian law, our total liability for any claims arising from our services is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, consequential, or incidental damages.

8. Termination of Engagements

Either party may terminate a project engagement with 14 days written notice. Payment is due for all work completed to the termination date. We may terminate immediately for non-payment or material breach.

9. Governing Law

These Terms are governed by the laws of Queensland, Australia. Disputes will be resolved in the courts of Queensland.
